These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", the "User") and [Registered Business Name] ("Ankeshan", "we", "us", "our"), the operator of the website ankeshan.com (the "Website") and the Ankeshan software (the "Software"). They govern your access to and use of the Website, the waitlist, the Software once released, and all free knowledge articles, calculators and downloadable Excel templates we provide (together, the "Services").
Please read these Terms carefully. By accessing the Website, joining the waitlist, downloading any resource, or (once available) installing or using the Software, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please do not use the Services.
These Terms constitute an electronic record and a valid contract under the Indian Contract Act, 1872 and the Information Technology Act, 2000, and do not require any physical or digital signature.
Important — Ankeshan is a tool, not advice. Ankeshan (including the Software, Website, guides, calculators and templates) is a productivity tool and a source of general information only. It is not tax, legal, accounting or professional advice, and it does not replace a qualified Chartered Accountant, Company Secretary, or tax or legal professional. You are solely responsible for your own statutory compliance and for verifying every figure and output with a qualified professional before you file, submit or rely on it. 1. About these Terms and who we are
Ankeshan is an Indian software product that runs locally on your Windows PC as an Excel add-in. Your business data stays on your own computer. Our servers are used only to validate your licence and to deliver rule and content updates; we do not upload or store your business books or accounts. How we handle any personal data (such as waitlist details) is described in our Privacy Policy.

2. Current stage: pre-launch (website and waitlist only)
Ankeshan is pre-launch. At present the Services consist of this Website, an optional waitlist, and free knowledge articles, calculators and downloadable Excel templates. We are not selling any product or subscription yet. Joining the waitlist does not create any obligation to purchase, does not reserve a licence, and does not guarantee any price, feature, launch date or availability. Any information about future products, pricing or timelines is indicative only and may change without notice.
3. Eligibility and your account
By using the Services you represent that you are at least 18 years old and legally competent to enter into a contract under the Indian Contract Act, 1872, or that you are using the Services on behalf of a business or organisation you are authorised to bind. If you create an account, register a licence, or join the waitlist, you agree to provide accurate, current and complete information and to keep it updated. You are responsible for maintaining the confidentiality of any account or licence credentials and for all activity that occurs under them.
4. Licence to use the Software (at launch)
When the Software is released, the following will apply. On payment of the applicable fee, we will grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software for your own internal business purposes, in accordance with these Terms and any end-user licence terms presented at purchase.
- One-time (perpetual) licence. The core Software licence is intended to be a one-time purchase granting a perpetual right to use the version you licensed, subject to these Terms.
- Optional annual updates subscription. Ongoing statutory rule updates, feature updates and support may be offered as an optional annual subscription, separate from the perpetual licence. If you do not renew, your perpetual licence to the last version you received continues, but you may stop receiving updates.
- Pricing. Prices will be announced at launch and displayed before purchase. Nothing on the Website today constitutes an offer of sale.
The licence grant is conditional on your compliance with these Terms. We (and our licensors) retain all right, title and interest in the Software.
5. Licence restrictions and acceptable use
You agree that you will not, and will not permit others to:
- copy, modify, translate, adapt or create derivative works of the Software, except as expressly permitted by law;
- reverse engineer, decompile or disassemble the Software, or attempt to derive its source code, except to the limited extent applicable law expressly permits despite this restriction;
- rent, lease, lend, sell, sublicense, distribute or otherwise commercially exploit the Software or provide it as a service to third parties;
- remove, obscure or alter any proprietary notices, licence keys or activation mechanisms, or circumvent any technical protection or licence-validation measure;
- use the Services in any way that is unlawful, fraudulent, infringing, or that violates any Indian law (including the Information Technology Act, 2000) or the rights of any third party;
- upload or transmit any virus, malware or harmful code, or interfere with, probe or disrupt the Website, our servers, or the Services;
- use automated means to scrape, harvest or overload the Website beyond normal use; or
- use the Services to store or transmit content that is unlawful, defamatory, obscene, or otherwise objectionable under applicable Indian law.
We may suspend or terminate access for any breach of this section. You are responsible for how you and your personnel use the Software, and for the accuracy and legality of the data you process with it.
6. Free resources: articles, calculators and templates
We publish free knowledge articles, calculators and downloadable Excel templates for general educational purposes. You may download and use these templates for your own internal business use free of charge and without sign-up, unless stated otherwise. Unless we expressly say so, you may not resell, redistribute or represent them as your own product.
These free resources are provided "as is" and for general information only. They are not professional advice, they may contain errors or become outdated as laws change, and you must verify every figure, rate, deadline and output with a qualified professional before relying on it. 7. Intellectual property
All content on the Website and in the Software — including text, guides, calculators, templates, software code, designs, logos, the "Ankeshan" name and brand, and all related intellectual property — is owned by or licensed to [Registered Business Name] and is protected under Indian and international intellectual property laws. Except for the limited rights expressly granted in these Terms, no right or licence is granted to you. You may not use our trademarks or branding without our prior written permission. If you send us feedback or suggestions, you agree we may use them without obligation to you.
8. Payments (at launch)
When purchasing is enabled, payments will be processed through our third-party payment gateway, Razorpay, or another provider we designate. By making a purchase you also agree to the applicable payment provider's terms. We do not store your full card or banking details; these are handled by the payment provider under its own security and compliance obligations. All fees are stated in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise. Applicable taxes (such as GST) will be added as required by law.
9. Refunds and cancellation (framework — applies at launch)
No products or subscriptions are sold today, so no refunds arise at this pre-launch stage. A detailed refund and cancellation policy, consistent with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, will be published and displayed at the point of purchase before any sale is made. As a reasonable placeholder framework, we currently intend that at launch:
- Software licences (one-time / perpetual): because the Software is a downloadable digital product delivered instantly, licences may be non-refundable once the licence key has been issued or the Software has been downloaded or activated, except where required by applicable law or where the Software fails to function as described and we are unable to resolve the issue.
- Annual updates subscription: you may cancel renewal at any time to stop future charges; cancellation stops future billing but does not, by default, refund the current paid period, except as required by law.
- Refund timelines: where a refund is approved, it will be initiated to the original payment method, typically within [5–7] business days, with the actual credit time depending on your bank or card issuer.
The final, binding refund and cancellation terms will be those published at launch. Nothing here waives any right you have under the Consumer Protection Act, 2019.
10. Grievance redressal
For any complaint, concern or query relating to the Services, including content, this Website, or (at launch) a purchase, you may contact us at legal@ankeshan.com. We will acknowledge and endeavour to resolve grievances within the timelines contemplated by applicable Indian law, including the Consumer Protection (E-Commerce) Rules, 2020. Complete grievance officer details will be published at launch as required.
11. No professional advice
Ankeshan is a productivity tool and a provider of general information only. Nothing in the Software, on the Website, or in any article, calculator or template constitutes tax, legal, accounting, financial or other professional advice, and nothing creates a professional-client relationship of any kind.
- Ankeshan does not replace a qualified Chartered Accountant, Company Secretary, or tax or legal professional.
- Tax, GST, payroll and compliance rules change frequently and vary by facts and circumstances; outputs may be incomplete, outdated or inapplicable to your situation.
- You are solely responsible for your own statutory compliance. You must independently verify every figure, rate, deadline, calculation and output with a qualified professional before you file, submit, pay or otherwise rely on it.
- Any reliance you place on the Services is strictly at your own risk.
12. "As is" — no warranty
To the maximum extent permitted by applicable law, the Services (including the Software, Website, articles, calculators and templates) are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. We do not warrant that the Services will be uninterrupted, error-free, secure, accurate, complete, current, or fit for any particular purpose, or that any output will be correct or compliant. Any implied warranties are disclaimed to the fullest extent permitted by law. Because the Software runs locally on your PC, you are responsible for maintaining backups of your own data; we are not responsible for any loss of data on your device.
13. Limitation of liability
To the maximum extent permitted by applicable law, and without limiting the disclaimers above:
- Ankeshan and [Registered Business Name] (and our directors, employees, agents and licensors) will not be liable for any penalties, interest, fines, tax demands, misfilings, mis-statements, loss of profits, loss of revenue, loss of business, loss of goodwill, loss or corruption of data, or any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of, or inability to use, the Services — including any error, omission, or outdated figure in the Software, Website, articles, calculators or templates.
- You acknowledge that you are responsible for verifying all outputs with a qualified professional, and that any statutory penalty, interest or loss resulting from your filings or business decisions is your own responsibility, not ours.
- Where liability cannot be excluded under applicable law, our total aggregate liability to you for all claims arising out of or relating to the Services will not exceed the total amount (if any) you actually paid to us for the Software licence in the twelve (12) months immediately preceding the event giving rise to the claim. For free resources and during the pre-launch period, where no amount has been paid, our aggregate liability is limited to INR 1,000 (one thousand rupees).
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law, including any rights you may have as a consumer under the Consumer Protection Act, 2019.
14. Indemnity
You agree to indemnify and hold harmless [Registered Business Name] and its directors, employees and agents from and against any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, your violation of any law, or your reliance on any output without independent professional verification.
15. Third-party links and services
The Services may reference or link to third-party websites, tools or services (for example, official government portals or Razorpay). We do not control and are not responsible for the content, accuracy or practices of any third party. Your use of any third-party service is subject to that third party's own terms and policies.
16. Termination
We may suspend or terminate your access to the Services, and revoke any licence, immediately and without notice, if you breach these Terms or use the Services unlawfully. On termination, the rights granted to you cease and you must stop using and, where applicable, remove the Software. Sections that by their nature should survive termination — including intellectual property, no professional advice, "as is", limitation of liability, indemnity, governing law and dispute resolution — will survive.
17. Changes to these Terms and the Services
We may update these Terms from time to time to reflect changes in our Services, technology, or the law. When we do, we will update the "Last updated" date above, and material changes will be notified through the Website where practicable. Changes are effective when posted. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. We may also modify, suspend or discontinue any part of the Services at any time. We will not, however, apply any change in a manner that is unfair to you contrary to the Consumer Protection Act, 2019.
18. Force majeure
We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, fire, flood, war, civil unrest, government action or regulation, changes in law, strikes, failures of telecommunications or internet infrastructure, power outages, cyberattacks, or third-party service failures.
19. Governing law, jurisdiction and dispute resolution
These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019.
- Amicable resolution first. In the event of any dispute, the parties will first attempt to resolve it amicably in good faith by writing to legal@ankeshan.com.
- Arbitration. Any dispute, controversy or claim arising out of or relating to these Terms or the Services that is not resolved amicably will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration will be conducted by a sole arbitrator appointed by us (or as mutually agreed), the seat and venue of arbitration will be [City], [State], India, the language will be English, and the arbitral award will be final and binding on the parties.
- Jurisdiction. Subject to the arbitration clause above, the courts at [City], [State], India will have exclusive jurisdiction over any matter arising out of or relating to these Terms. Nothing in this section limits any statutory right of a consumer to approach the appropriate consumer forum under the Consumer Protection Act, 2019.
20. General
- Entire agreement. These Terms, together with the Privacy Policy, the Disclaimer, and any end-user licence or purchase terms presented at launch, constitute the entire agreement between you and us regarding the Services.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
